Fully remote are roles that can be performed remotely, require employees to live in approved states and will have purpose-driven in-person interactions on occasion.

Job Summary
Reporting to the Executive Vice President and General Counsel, the Deputy General Counsel – Corporate and Commercial is responsible for leading the Corporate, Securities and Commercial functions of PSEG’s Legal Department. This position will lead a team of attorneys and paralegals responsible for all legal aspects of (1) securities law and disclosure matters including periodic and current SEC reporting and the Company’s quarterly earnings calls, (2) M&A, joint ventures and other significant transactions, (3) commercial contracts and procurement activities across the Enterprise and (4) corporate financings including credit facilities and securities offerings.
This position manages outside counsel for major transactions and SEC matters as well as seconded attorneys dedicated to major projects.
Job Responsibilities
Corporate and Securities Counsel Group
• Leads legal support for periodic and current SEC reporting including 10-K, 10-Q and 8-K filings and the Proxy Statement, as well as the Company’s quarterly earnings calls.
• Oversees compliance with federal securities law on all disclosure and other matters for the Enterprise.
• Leads legal support for all corporate financings including credit facilities, equity and debt issuances and share repurchase programs.
• Primary legal advisor for Investor Relations, External Communications, Accounting, Treasury, Tax and ESG functions within PSEG.
• Collaborates with the Office of Corporate Secretary on corporate governance matters.
Commercial Counsel Group
• Oversees legal support on M&A, joint venture and other significant transactions for the Enterprise.
• Leads legal support for all commercial transactions across the Enterprise including contracts for electric, gas and nuclear construction, equipment and materials, IT projects, products and services, and HR projects and services.
• Primary legal advisor for all matters handled by the corporate development group including M&A and joint venture opportunities, nuclear growth projects and transmission projects.
• Leads legal support for all procurement matters across the company including RFPs, contract management, supplier performance management and third party risk management.
Job Specific Qualifications

- Juris Doctorate with at least 10 years of relevant experience working in the corporate department of a top tier law firm, government and/or in-house legal department for a large public company.
